SECTION 2: SOFTWARE AND SERVICES
This agreement sets the fees, payouts and responsibilities between Tax Max Software Solutions ("Tax Max") and the affiliate named in Section 1 (the "Affiliate") for use of the Tax Max software and its bank and non-bank product options.
The Affiliate prepares and transmits returns as an independent business and is responsible for the accuracy of every return, the correct disclosure of all fees to clients, and compliance with IRS, state and bank partner requirements. Tax Max provides the software, the bank product program and related support as described in this agreement. The Affiliate's package, price and preparation-fee split are set in Schedule A.

SECTION 3: BANK PRODUCT AND SOFTWARE FEES
Bank fees are paid upfront. The $35 non-bank product fee, also known as a PUF (paid up front) return fee, is charged to the Affiliate. The fees below apply to each applicable return processed by the Affiliate.
- Non-bank product fee (PUF): $35, each paid-up-front (PUF) non-bank-product return.
- Combined bank product and software fee: $239, each applicable funded bank-product return.
Fees must be disclosed accurately and may be collected only through approved payment arrangements. Any fee designated as payable upfront must be paid before the applicable service or transaction is processed. Affiliates may not impose unauthorized or undisclosed charges.

SECTION 4: AUDIT INSURANCE
The maximum price to the client under this schedule is $99: the $69 base price plus an authorized preparer markup of up to $30.
- Base audit insurance price: $69.
- Authorized preparer markup: up to $30.
- Maximum price under this schedule: $99.
Audit insurance starts at $69, and the Affiliate may add a markup of up to $30 to the client price, for a maximum of $99, on each eligible, completed audit insurance sale. The Affiliate's markup is paid with the summer bank fee payout in Section 5, subject to reconciliation, applicable insurance rules, partner authorization, and the final commission agreement.
Audit insurance must be optional when required by applicable rules. Affiliates must accurately explain the coverage, exclusions, and terms.

SECTION 5: SUMMER BANK FEE PAYOUT
Tax Max pays the Affiliate $10 for every paid-out bank product. The amount is added to the Affiliate's summer bonus payout, together with any approved audit insurance markup under Section 4, in a single summer settlement.
The affiliate package price increases by 5% each year the Affiliate grows their client base by 50 clients.
All payouts are subject to reconciliation, bank partner confirmation, and the final commission agreement.

SECTION 6: TAX PAY LOAN MARKETING FEES
Tax Max charges the Affiliate a marketing fee to participate in tax pay loans.
- Per season: $79.
- In-season loans: $39.
Before tax pay loans are offered, the Affiliate must provide the information requested in Section 1, including PTIN, EFIN, business address, mailing address and phone number. Loan terms are controlled by the lender and applicable law.

SECTION 6A: PRE-SEASON AND IN-SEASON CLIENT LOAN AGREEMENT
Tax Max offers two client loan options through participating Affiliates. The marketing fee for these client loans is charged to the preparer (the Affiliate), as shown below, and not to the client. Each client signs a client loan agreement before any loan is submitted.
- Pre-season client loan: offered before the tax season opens. Marketing fee charged to the Affiliate: $79 per season.
- In-season client loan: offered during the filing season. Marketing fee charged to the Affiliate: $39.
For every client loan, the Affiliate agrees to:
- Give the client the written loan terms before the client applies, including all fees and how the loan is repaid from the refund.
- Provide the PTIN, EFIN, business address, mailing address and phone number requested in Section 1 before submitting any loan application.
- Never promise approval, a loan amount or a funding date. The lender decides all three.
- Charge the client no loan-related fee that is not disclosed in the loan terms and this agreement.
- Keep a signed copy of each client loan agreement in the client's file.
Loan terms are controlled by the lender and applicable law.

SECTION 7: OFFICE LOAN AGREEMENT
Affiliates who complete 50 funded bank products in a season may be offered an office loan agreement with full access to the office loan program.
Office loan terms are controlled by the lender and applicable law, and are subject to a separate signed agreement.

SECTION 8: NON-FRAUD AND COMPLIANCE AGREEMENT
The Affiliate agrees to the following for every return prepared and every product offered:
- Prepare returns only from information and documents the client has truthfully provided, and never create, alter or inflate income, credits, dependents or deductions.
- Hold a valid PTIN and EFIN, and keep the information in Section 1 current.
- Disclose all fees accurately and charge only fees authorized in this agreement.
- Follow all IRS, state and bank partner rules, including identity verification and due diligence requirements.
- Report suspected fraud or identity theft to Tax Max immediately.
Tax Max may suspend software, bank product, audit insurance or loan access, and withhold payouts under review, if it reasonably suspects a violation of this section.

SECTION 9: TERM, TERMINATION AND GENERAL TERMS
This agreement starts on the date of the last signature in Section 10 and renews each tax season unless either party ends it in writing. Either party may end it with written notice, and Tax Max may end it immediately for a violation of Section 8.
Fees and payouts in this agreement may change only by written notice from Tax Max before the start of a tax season. This agreement is the entire agreement on these subjects and replaces earlier discussions. The laws of the state named by Tax Max govern it.

SECTION 10: SIGNATURES
